Terms of Service

These are the terms for running your business on DynastyOS: what we build, what you own, how billing and cancellation work, and what each of us is responsible for. Written to be read, not skimmed.

Agreement

These Terms of Service (the "Terms") are a contract between you and Williams Legacy Group Inc., doing business as DynastyOS ("DynastyOS", "we", "us"). They apply when you visit dynastyos.ai, request a quote, create an account, or subscribe to the DynastyOS platform (the "Service"). By doing any of those things you agree to these Terms. If you are acting for a business, you confirm you have authority to bind it, and "you" means that business.

If you sign a separate order form or master agreement with us, that document controls where it conflicts with these Terms.

What the Service is

DynastyOS is an AI-powered front-office system for service businesses: an AI front desk that answers calls and messages, a website with online booking, a CRM, follow-up automation, and a reputation engine, built and configured for you and then run on a monthly plan. The exact scope of your build and plan is set out in your quote or order form.

The Service uses artificial intelligence. AI output can be inaccurate or incomplete. You are responsible for reviewing the bookings, quotes, and commitments your system makes and for the instructions you give it. We are not responsible for decisions you or your customers make in reliance on AI-generated content.

Setup fee, subscription, and billing

  • Setup fee: a one-time fee, stated in your quote, for building and configuring your system. It is due before build work begins and is earned when the build is delivered.
  • Subscription: a recurring monthly fee, stated in your quote, billed in advance on the same day each month starting when your system goes live (or thirty days after the build is delivered, whichever is first).
  • Payment: you authorize us and our payment processor to charge your payment method for all fees. Failed payments are retried; if a payment remains unpaid for ten days we may suspend the Service until it is brought current.
  • Price changes: we may change subscription pricing with at least thirty days written notice. The new price applies at your next billing date after the notice period.
  • Usage-based charges: telephony minutes, messaging, and AI usage above the allowance in your plan are billed as stated in your quote.
  • Taxes: fees exclude sales and similar taxes, which you are responsible for where they apply.

Term, cancellation, and refunds

Your subscription continues month to month until cancelled. You may cancel at any time from your account or by emailing us; cancellation takes effect at the end of the current billing period, and you will not be charged again after that. We do not prorate or refund the remainder of a billing period already charged.

The setup fee is non-refundable once build work has begun. If you cancel before build work begins, we will refund the setup fee in full. If we are unable to deliver the build described in your quote, we will refund the setup fee.

We may suspend or terminate the Service for non-payment, for a material breach of these Terms that is not cured within ten days of notice, or immediately for abuse, illegal use, or a security risk. On termination for our convenience, we will refund any prepaid fees for the period after termination.

What you own and what we own

You own your business data: your customer records, call transcripts, messages, bookings, content, and the domain names and phone numbers registered in your name. You own the website and configuration we build for you once the setup fee is paid, and you may export your data at any time while your account is active and for thirty days after it ends.

We own the DynastyOS platform: the software, AI orchestration, templates, workflows, and know-how that make the Service run, and any improvements to them. You receive a non-exclusive, non-transferable license to use the platform for your business for as long as your subscription is active. You may not copy, resell, reverse engineer, or build a competing product from it.

You grant us a limited license to host, process, and display your data and content solely to provide and support the Service. We may use aggregated, de-identified usage information to improve the Service.

Your responsibilities

  • Give us accurate information about your business, and keep your account details and payment method current.
  • Keep your login credentials secure and tell us promptly if you suspect unauthorized access.
  • Comply with the laws that apply to your business and your use of the Service, including telemarketing, text-messaging consent, call recording, consumer protection, and privacy laws in the places where you and your customers are located.
  • Where required by law, tell your customers that they may be communicating with an automated assistant and that calls may be recorded.
  • Do not use the Service to send spam, to harass or deceive anyone, to violate anyone's rights, to transmit malware, or for any illegal purpose.
  • Do not attempt to access other customers' data, probe or disrupt the Service, or exceed the usage limits of your plan.

Privacy and data protection

Our Privacy Policy explains how we collect and use information and is part of these Terms. For the customer information your system collects, you are the controller and we are your processor: we process it only on your instructions and to provide the Service, and we return or delete it when your subscription ends. Where the law requires a separate data processing agreement, we will sign one on request.

Service levels and support

We aim to keep the Service available at all times and to respond to support requests within one business day. Planned maintenance is scheduled outside normal business hours where possible. Because the Service depends on third-party carriers, hosting, and AI providers, we cannot guarantee uninterrupted operation, and we are not responsible for outages caused by those providers or by your own internet, phone, or hardware.

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that AI output will be accurate, or that the Service will produce any particular business result, revenue, or number of leads.

DynastyOS is a technology platform. We do not provide legal, tax, accounting, or licensed professional advice, and nothing in the Service should be taken as such.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of these Terms or the Service, even if advised of the possibility. Our total liability for all claims arising out of these Terms or the Service will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations, either party's indemnity obligations, or liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against claims arising from your business data or content, your violation of law, or your breach of these Terms, including claims by your customers about communications your system sent on your instructions. We will defend and indemnify you against claims that the DynastyOS platform itself infringes a third party's intellectual property rights, provided you notify us promptly and let us control the defense.

Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Before filing any claim, the parties will try in good faith to resolve the dispute by discussion for at least thirty days. Any claim that cannot be resolved will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to that jurisdiction and venue. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information.

General

  • Changes to these Terms: we may update these Terms. We will post the new version here with a new date and notify account holders by email at least thirty days before material changes take effect. Continued use after the effective date is acceptance.
  • Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: these Terms, the Privacy Policy, and your quote or order form are the entire agreement between us on this subject.
  • Severability and waiver: if any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
  • Notices: we send notices to the email on your account. You send notices to the contact address below.
